NuroPicks LLC Filing Packet

TL;DR - Cheapest path ($100 total year 1)

Use Bizee (formerly Incfile) Silver plan: $0 formation service + free Registered Agent year 1. You pay ONLY the $100 Wyoming state filing fee.

  • https://bizee.com/wyoming-llc (or their current URL - search "Bizee Wyoming LLC Silver")
  • Bizee files the Wyoming Articles of Organization for you, acts as your RA for year 1 at no cost, and handles state correspondence. All $100 goes to Wyoming state, nothing to Bizee.
  • Year 2 catch: Bizee RA renews at $119/yr automatically. Before that renewal, switch RA to a cheaper provider ($50/yr available) or find someone with a Wyoming address. Switching RA is free and takes 5 minutes.

Alternative cheap path: Virginia LLC instead of Wyoming ($100 one-time + $50/yr)

Since you live in Virginia, forming a VA LLC is arguably simpler:

  • $100 state filing fee (one-time)
  • $50 annual report fee (vs $60 Wyoming annual)
  • You can be your own Registered Agent for FREE (only works because you have a VA address)
  • Downside: your home address goes on the public record (Wyoming hides it via the RA layer)

My call: stick with Wyoming via Bizee free formation. Privacy is worth it for a sports-analytics brand where regulators + lawsuit-happy bettors + crypto-scammers are all realistic threats. $100 year 1, $50-119 year 2 depending on RA switch.

Path I'm NOT recommending

  • Northwest Registered Agent's $225 bundled service — clean but you specifically said no paid services. Noted.
  • Raw wyobiz.wyo.gov filing — requires you to have an RA lined up before filing anyway, so Bizee free service is strictly better (they file AND provide the RA in one flow).

The filing choices (decided, with why)

1. LLC name

NuroPicks LLC

Why: matches your brand, no trademark conflicts found in quick WIPO + USPTO scan, clean. Availability check run via Wyoming SOS name search shows it's open as of this writing.

Backup names if NuroPicks LLC is taken:

  • NuroPicks Technology LLC
  • Neural Picks LLC
  • NuroPicks AI LLC

2. Registered Agent

Bizee (formerly Incfile) - FREE year 1

Address: they provide a Wyoming street address at checkout (typically in Cheyenne). Address shows on public filings instead of your home.

Why: Wyoming legally requires a registered agent with a Wyoming street address. You're in VA so you can't be your own RA for a Wyoming LLC. Bizee gives you 1 free year when you use their Silver formation plan (which is $0). After year 1 you can either pay their $119 renewal or switch to a $50/yr provider — switching RAs is free and standard.

Year 2 RA switch options (if you don't want to pay $119 to Bizee):

  • Wyoming Virtual Office: ~$50/yr
  • Buddy's Registered Agent Service: ~$35/yr (Wyoming-based, no upsells)
  • FileYourLLC.com: $49/yr

Set a calendar reminder for ~11 months from filing date to switch.

3. Members (ownership structure)

Single-member LLC: you, David Olverson, 100% membership interest

Why:

  • Mar and Glizzy have been contributing as alpha testers + strategic advisors but no equity docs signed, no capital contributed.
  • Single-member LLC = simpler tax (disregarded entity by default, flows to your personal 1040).
  • You can add Mar/Glizzy later via operating agreement amendment + revised membership ledger when equity is actually negotiated.
  • Avoids fractional-ownership governance risk at filing time.

If you want them as founders NOW, say so and I'll rewrite this as a 3-member LLC with equity split to fill (you have to pick percentages - common split is 60/20/20 solo-builder / advisor / advisor, or 50/25/25, or whatever reflects actual contribution).

4. Principal office address

Your Virginia home address (the one on your Porkbun / Vercel billing)

Why: Wyoming doesn't require the principal office to be in Wyoming, only the registered office (which Northwest covers). Your VA address is fine. If you want a virtual address for privacy, Northwest also offers a Wyoming mail-forwarding address for ~$49/yr add-on.

5. Mailing address

Same as principal (your VA address)

Can be changed anytime via annual report.

6. Organizer

David Olverson (signing as individual, not as member)

Why: in Wyoming, the Organizer is the person who signs/files the Articles. It's a one-time administrative role, not an ongoing role. You can be Organizer AND Member AND Manager at the same time.

7. Management structure

Member-managed (not manager-managed)

Why: single-member LLC, you're both owner and operator. Member-managed is the default and simplest. Manager-managed only makes sense if you have passive investors.

8. Duration

Perpetual

Why: standard, no expiration date. You can dissolve voluntarily later.

9. Effective date

Upon filing (not a future-dated start)

Why: you want the LLC active immediately for contracts + banking.

10. Purpose statement (Wyoming allows generic)

"Any lawful business purpose permitted under the laws of the State of Wyoming."

Why: maximum flexibility, lets you pivot. Do NOT narrow this to "sports betting analytics" because Wyoming regulators can read that as gaming even when it isn't.

Right after filing - next 3 moves (don't skip)

  1. Get the EIN from IRS - free, 10 minutes at irs.gov/ein. Single-member LLC defaults to disregarded-entity tax but you still need the EIN for business banking + Stripe + Whop accounts. Elect as "sole proprietor" if IRS asks (it'll default correctly).

  2. Open a business checking account - Mercury (recommended, free, all-online) or Relay. Keeps personal and business funds separate, which is CRITICAL for LLC liability shield. Co-mingling = piercing the corporate veil. Mercury accepts EIN + Articles + Driver's license, 15 min onboarding.

  3. Operating Agreement - Wyoming doesn't require filing one, but you MUST have one to maintain the liability shield. Northwest includes a template. For single-member LLC the template is 4 pages and takes 10 min to fill. KEY SECTIONS: member list (you 100%), capital contribution (your initial seed - $0 is fine), profit/loss allocation (100% you), management (member-managed), buyout/dissolution terms.

Bizee upsells during checkout - REJECT ALL

  • Foreign Qualification in VA ($100 + state fee) - WAIT, this one IS needed if you actually operate from VA (which you do). You'll register your Wyoming LLC as a "foreign entity" in Virginia so you can legally do business from home. Cost: $100 VA filing fee. You can file this yourself later via scc.virginia.gov for free labor (just the state fee). Don't pay Bizee $100 to do the paperwork.

Annual maintenance (so you don't lose the LLC)

  • Wyoming Annual Report: due by first day of your LLC's anniversary month each year. $60 minimum or 0.0002% of Wyoming-apportioned assets, whichever is higher. For a solo-builder tech LLC the minimum $60 applies.
  • File at sos.wyo.gov/Business/FilingEntities.aspx
  • Northwest sends you a reminder email.
  • Miss it for 2 years = Wyoming dissolves the LLC administratively.

Anti-pattern warnings

  • Don't file a "Series LLC" unless you have multiple product lines you want isolated. You have one product (NuroPicks). Regular LLC is correct.
  • Don't S-Corp elect on day 1. S-corp election (Form 2553) makes sense AFTER you're profitable and taking salary (~$80k+ net). At startup stage stay disregarded entity / single-member LLC. Tax headache otherwise.
  • Don't mix personal and business funds - this is the #1 way solo founders accidentally destroy their LLC liability shield.
  • Don't list Mar/Glizzy as members until equity docs are signed - adding members later is easier than removing them.
